Nscale, a British AI cloud company, announced on September 25, 2026, that it had raised $3.36 billion through a pre-IPO convertible bond offering. The deal, led by the third-party investment firm Third Point, included several investors, including NVIDIA.
It's not set up so that the entire amount comes in all at once. According to the company's statement, the initial $2.36 billion will be raised upon closing of the transaction, and NVIDIA's additional $1 billion is expected to be injected in mid-November 2026. Therefore, one should not interpret this to mean that the full $3.36 billion has already been secured in cash.
| Let's take a look at the procurement structure first
This arrangement involves convertible bonds. You can think of them as securities that allow you to convert borrowed funds into stock once certain conditions are met. Nscale explained that once the initial public offering is complete, these securities will automatically convert into stock. The portion allocated to NVIDIA will be converted into non-voting stock.
Third Point led the deal, with NVIDIA, a fund managed by Apollo, Citadel, and the Abu Dhabi Investment Council also participating. NVIDIA’s $1 billion contribution was presented as a commitment to provide additional funding and as part of the anticipated future timeline. Whether the IPO is completed and when the funds are actually disbursed remain to be seen.
| What kind of business will Nscale invest in?
Nscale is a cloud service provider that offers the computing resources needed for training AI models and operating AI services. The company announced that it will use this funding to expand its infrastructure, which includes data centers equipped with power supplies and liquid cooling, as well as large-scale GPU clusters. GPUs are semiconductors designed to process large volumes of AI computations.
The AI infrastructure business isn't over just because you've secured the chips. Power supply, cooling systems, the building, the network, and the servers that customers can actually use must all be set up simultaneously. This is why securing substantial funding is so important—because all these steps must be prepared at the same time.
| The Significance of a $103 Billion Contract Value
Nscale announced that its total contract value exceeds $103 billion. Total contract value is a metric that sums the amounts expected over the term of a contract. It is different from annual revenue, cash already received, or confirmed profits.
Whether these figures translate into actual business results depends on whether we can build the facilities on time and provide computing resources to our customers. While the contract value itself should be cited based on the company's announcement, it is necessary to distinguish between future revenue recognition and actual operating performance.
| What We Can Learn from NVIDIA's Investment
NVIDIA's participation in this deal highlights the connection between GPU suppliers and AI cloud infrastructure providers. As computing demand increases, chip supply and data center construction schedules will increasingly influence one another.
However, simply participating in the investment does not mean that priority supply of a specific GPU, an exclusive contract, or the actual volume of equipment to be delivered has been finalized. The official information from Nscale confirms only the investment commitment and the plan for the use of funds. We’ll have to wait for a separate announcement to assess the specific supply terms.
| Variables in Pre-IPO Fundraising
These convertible bonds are designed to be converted into shares following the IPO. Therefore, the listing process and the timeline for disbursing the funds are important for understanding the investment structure. The company has also stated that actual results regarding the closing of the fundraising and the plan for using the funds may differ.
The data center business also involves operational risks related to construction and securing a power supply. Since there is a time lag between securing funding and the actual start of operations, we cannot say that operational capacity has expanded immediately based solely on the announced investment amount.
| What should I check next?
The significance of this announcement lies in the fact that Nscale has unveiled a transaction structure designed to secure funding for large-scale AI infrastructure investments ahead of its IPO. You have to break down the initial $2.36 billion and NVIDIA's additional $1 billion commitment to get an accurate picture of the current state of funding.
Going forward, we need to confirm, in order, the closing of the transaction, the additional investment expected in mid-November, the IPO process, and the completion of the data center and the launch of actual services. The key question is how the $103 billion contract value translates into actual results in that process.
